Ahrensburg, July 18, 2022 – The general meeting of Basler Aktiengesellschaft decided on 23 May 2022 to increase the company’s share capital by EUR 21,000,000.00 from EUR 10,500,000.00 to EUR 31,500,000.00 in accordance with the provisions on capital increase from the company’s funds (ff§. 2G07 ). The capital increase will be implemented by converting an amount of EUR 21,000,000,000 of the capital reserve reported in the Company’s approved annual accounts per. 31 December 2021, for share capital. The capital increase will be implemented by issuing 21,000,000 new nopari value bearer shares with a nominal interest in the share capital of EUR 1.00 per share. The shares are entitled to participate in shares from 1 January 2022. The decision on the capital increase from the company’s funds was based on the annual accounts of Basler Aktiengesellschaft per. December 31, 2021 approved by the Board of Directors. These audited and approved financial statements are subject to an unqualified audit opinion from the company’s auditor, BDO AG Wirtschaftsprüfungsgesellschaft, Lübeck. The Executive Board was authorized, with the consent of the Board of Directors, to determine the details of the implementation of the capital increase.

The corresponding amendment to the articles of association was entered in the company’s trade register at the High Court in Lübeck on 5 July 2022 and thus entered into force. The company’s share capital now amounts to EUR 31,500,000.00 and is divided into 31,500,000.00 bearer shares with no nominal value.

The registration date for the allotment of the new shares as a result of the capital increase (“bonus shares”) is July 20, 2022. Due to their previous shareholdings in ISIN DE0005102008, our company’s shareholders are entitled to fund shares on July 20, 2022, the evening after the closing of the stock exchange. Ratio 1: 2, that is, the shareholder receives two additional fund shares for each share already held. As all the shares in Basler AG are kept in a collective custody, the shareholders do not have to do anything regarding the allotment of free shares. The bonus shares will be credited to eligible shareholders based on their holdings of old shares on July 20, 2022 following the closing of the stock exchanges by deposit credit.

The bonus shares will have the same ISIN as the old shares (ISIN DE0005102008). They are documented in a new global certificate deposited with Clearstream Banking AG, Frankfurt am Main. According to the articles of association, the shareholders’ right to certification of their shares and any profit shares is excluded.

The shares in Basler AG will be listed “ex bonus shares” from 19 July 2022.

The delivery date for bonus shares listed on the regulated market (Prime Standard) on the Frankfurt Stock Exchange is July 21, 2022.
