Foscarini buys design brand Ingo Maurer

The Italian designer lighting manufacturer Foscarini buys the German company Ingo Maurer, which operates in the same market segment. Andersen, GLNS and Görg advise on the deal.

The design brand Ingo Maurer is taken over by Foscarini, the Italians secure 90 percent of the share capital in Ingo Maurer GmbH. The acquired shares were previously owned by its shareholder Ingo Maurer Designer GmbH Co. KG.

Bag Ingo Maurer Designer GmbH Co. KG stands the daughter of the late founder Ingo Maurer. One of the two subsidiaries acquired a 10% stake in Ingo Maurer GmbH.

Foscarini, founded in 1981, designs, produces and sells decorative design lamps. The company’s sales network includes more than 2,500 dealers worldwide. The owner-managed Ingo Maurer GmbH was founded in Munich-Schwabing in 1966 and has since developed into a well-known brand for lighting design. The best-known designs for series production include the Bulb, the YaYaHo low-voltage system, and the Lucellino wing lamp.

The parties involved have agreed not to disclose the financial details of the transaction.

A team from the law firm Görg led by Munich M&A partner Dr. Bernt Paudtke supported Ingo Maurer Designer GmbH & Co. KG in the transaction.

The mandate included advice on company law, licensing law and tax law aspects.

The team included Dr. Tobias Nikoleyczik and Nadja Crombach.

Andersen accompanied the longtime customer Foscarini in the takeover with an Italian-German team led by Paolo Trevisanato in the various phases of the transaction.

This included the preparation of the entire transaction structure, the implementation of the legal, tax and financial due diligence, as well as support for the preparation and negotiation of the associated transaction documentation in accordance with Italian and German law.

Dr Patrick Schlieper of Weber Sauberschwarz and Gero Hübenthal of Hübenthal & Partner supported Foscarini in coordination with Andersen’s German team on financial and tax matters and in the transfer or licensing of intellectual property and trademark rights.

Aquin & Cie acted as M&A advisors on the sales side with Felix Kampen and Raphael Muth.
